TERMS OF SERVICE

Welcome to Silkwood Software Pty. Ltd. ("Silkwood Software," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website (silkwoodsoftware.com) and the purchase of licenses for the Elyse database ("Software").

By accessing our website or purchasing a license through our authorized reseller, FastSpring, you agree to these Terms. If you are using the Software, you are also bound by our End User License Agreement (EULA).

1. The "Trust-Based" Licensing Model

Silkwood Software operates on a trust-based, "Try Before You Buy" model.

• Evaluation: We provide a fully functional, unconstrained version of the Software for evaluation, development, and testing purposes at no cost, as defined in Section 2.1 of the EULA.
• Compliance: We trust our users to remain in legal compliance. If you move the Software into a Production Multi-User Environment, you are contractually obligated to purchase a License for each Database Instance.
• Audit Rights: As per the EULA, you agree to maintain accurate records of your Database Instances and provide them to Silkwood Software or agent upon request to verify license compliance.

2. Purchases and Payments

All financial transactions are processed by FastSpring, our authorized Merchant of Record.

• By initiating a purchase, you agree to provide FastSpring with valid payment information.
• You are responsible for any applicable taxes (VAT, GST, Sales Tax) calculated by FastSpring at the time of purchase.
• Upon successful payment, a license receipt and/or activation details will be issued to the email address provided.

3. Refund Policy

Because we provide an unconstrained, perpetual, and free evaluation license for testing and development purposes, we expect users to have fully verified the Software's fitness for their purpose before purchasing.

• All sales are final. No refunds will be issued once a Commercial / Production Use License has been purchased.
• Exceptions may be made solely at our discretion for duplicate accidental purchases or proven fraudulent transactions.

4. Intellectual Property

The Software, including its schema definitions, stored procedures, and the "Elyse" name, is the intellectual property of Silkwood Software Pty. Ltd. Your purchase of a license provides a right to use the Software under specific conditions; it does not transfer ownership of the underlying IP.

5. Disclaimer of Warranties

The website and the Software are provided "AS IS." Silkwood Software makes no warranties, express or implied, regarding the uptime of the website or the suitability of the Software for any specific high-risk environment. Your use of the Software is at your own risk.

6. Limitation of Liability

To the maximum extent permitted by law, Silkwood Software Pty. Ltd. shall not be liable for any data loss, business interruption, or financial damages arising from the use or inability to use the Software. Our total liability for any claim shall not exceed the amount you paid for the specific license giving rise to the claim.

7. Governing Law

These Terms and your relationship with Silkwood Software are governed by the laws of Queensland, Australia. Any disputes shall be resolved in the courts of Queensland.
